Terms of Service

These Terms of Service govern all engagements between DataStag ("we", "us", "our") and clients ("you", "your"). By engaging DataStag's services, you agree to these terms.
1. Services
DataStag provides GTM engineering services including B2B sales pipeline builds, data enrichment, lead scoring, CRM configuration, and managed operations for the East African market. The specific scope, deliverables, timeline, and price for each engagement are agreed in writing before work begins.
We do not provide general business consulting, market research reports, or data vendor services. DataStag builds live, operational systems — not static documents.
2. Engagement Model
All DataStag engagements operate on a fixed-scope, fixed-price basis:
- Build engagement: A one-time fee covering the complete GTM Engine build. Scope is defined and agreed before kickoff. Changes to scope after kickoff require a written amendment.
- Managed service: A monthly fee for ongoing pipeline operation, maintenance, and reporting after the build is complete. Either party may terminate the managed service with 30 days written notice.
We do not bill by the hour. We do not accept open-ended or undefined scope engagements.
3. Payment Terms
- Build fees are invoiced 50% at contract signing and 50% upon system go-live, unless otherwise agreed in writing.
- Managed service fees are invoiced monthly, payable within 7 days of invoice date.
- Late payment beyond 14 days may result in suspension of managed services until the account is settled.
- All fees are quoted and invoiced in USD for international clients and KES for Kenya-based clients unless agreed otherwise.
- Refunds: the pilot engagement (where applicable) carries a 50% refund if Go/No-Go criteria are not met at day 30. All other fees are non-refundable once work has commenced.
4. Performance Guarantee
DataStag guarantees a minimum of 200 qualified leads per month (Kenya standard engagement) or 150 qualified leads per month (pioneer market engagement) by the end of month 3 of active managed service. If this target is not met, DataStag will continue operating the system at no additional charge until the target is achieved.
This guarantee applies only where the client has:
- A defined and agreed Ideal Customer Profile (ICP)
- A committed operator available to manage day-to-day pipeline activity
- An active sales team using the leads generated
- Provided DataStag with 2 hours per week of access for the first 90 days
The guarantee does not apply if the client's sales process, team, or market conditions change materially after the engagement begins.
5. Client Responsibilities
You agree to:
- Provide accurate information about your ICP, target market, and sales process
- Grant DataStag access to your HubSpot CRM or agreed alternative
- Designate a committed operator before Phase 3 of the engagement begins
- Respond to weekly briefing requests within 48 hours
- Use the pipeline and leads generated in compliance with applicable data protection laws in your jurisdiction
6. Data & Confidentiality
All lead data, enrichment outputs, and pipeline configurations built by DataStag for your engagement are your property upon full payment. DataStag retains no ongoing rights to your client data.
Both parties agree to keep engagement details, pricing, methodology, and any proprietary information confidential and not to disclose it to third parties without written consent, except as required by law.
7. Intellectual Property
DataStag's enrichment engine, scoring methodology, workflow architecture, and internal tools remain the intellectual property of DataStag. The deliverables configured for your engagement (HubSpot pipeline, lead database, SOP documentation) are yours upon full payment.
8. Limitation of Liability
DataStag's total liability for any claim arising from an engagement is limited to the fees paid for that specific engagement in the 12 months preceding the claim. DataStag is not liable for indirect, consequential, or incidental damages including lost revenue, lost profits, or lost business opportunities.
DataStag does not guarantee that the contacts, emails, or phone numbers in the pipeline are 100% accurate. East Africa data enrichment operates at 25–45% verified enrichment rates depending on the market. These rates are disclosed before engagement begins.
9. Termination
- Managed service: Either party may terminate with 30 days written notice. Fees for the current billing period are non-refundable.
- For cause: DataStag may terminate immediately if payment is overdue by more than 30 days or if the client materially breaches these terms.
- Upon termination, DataStag will provide a final data export of all pipeline data within 14 days.
10. Governing Law
These terms are governed by the laws of Kenya. Any disputes that cannot be resolved amicably will be submitted to the jurisdiction of the Nairobi courts, unless otherwise agreed in the engagement contract.
11. Changes to These Terms
DataStag may update these terms periodically. Material changes will be communicated to active clients with 30 days notice. Continued use of DataStag services after notice constitutes acceptance.
